Sarbu Partners: On the Revocation of Mandate Agreements Concluded by Public Companies

Eugen Sarbu, Partner at Sarbu Partners, participated on September 25, 2025, in the debate organized by Juridice.ro – “Corporate governance – update: voluntary or mandatory?” 

During his speech, our colleague addressed a topic of interest in the field of corporate governance of public companies – “Criteria for awarding damages for the revocation of mandates concluded under GEO No. 109/2011”, emphasizing the importance of well-defined contractual clauses that protect both the company and the agent in the event of early termination of the mandate. 

He also highlighted how clearly establishing the criteria for revocation and compensation mechanisms is essential for the stability and credibility of public enterprises.

Key points from the presentation:

  • types of mandate revocation (revocation with just cause, revocation without just cause, and revocation without fault) and their impact on the type and amount of compensation;
  • the role of performance indicators in the contract economy and the consequences of revocation of the mandate in cases where the performance indicators entitling the agent to the variable component of remuneration are met;
  • types of damages intended to ensure full compensation for the damage suffered by the agent;
  • the possibility of introducing non-competition clauses in contracts and correlating them with the granting of adequate non-competition compensation.
